Party B：Harbin Sumly technology limited company
Through friendly negotiation, Party B, the developer of Self-service Website Builder System, and Party A,
the customer of this business of Party B, discuss the matter of Party A buying Party B’s multiuser edition
of self-service Website Builder System (Language： ), and the detailed clauses are as follows：
First, Purchase content：Multiuser edition of self-service Website builder System
Second, Total amount of this Contract is: 10800 $, capital letter: ten thousand eight hundred
Third, System installation and payment mode
1．Down payment:
Since the day of signing this Contract，Party A shall pay for Party B 50% of the total amount of
this Contract and commission，is 5400 $，capital letter：five thousand four hundred.
2. System installation mode： A, remote installation by Party B; B, Party B providing the
download address; C, Party B providing the system disk;
(A) Remote installation by Party B; After receiving the payment and remote management
username and password of Party A’s server, Party B shall complete the system installation for
Party A within a working day. The software and hardware provided by Party A shall be in good
operation and suitable for installing this System. According to the requirements of Party B, Party
A shall install the required software for normal operation of this System in his server, and the
details are as follows: PHP Edition ≥ 4.3.4, Zend Optimizer Edition ≥ 2.10, and PHP supporting
GD2 library.
(B) Party B providing the download address; Party A shall install it by himself, and Party B
shall give help and instruction to ensure the successful installation.
(C) Party B providing disk and send to the pointed address of party A; Party A shall
install it by himself, and Party B shall give help and instruction to ensure the successful
installation.
3.Balance:
Within seven days after Party B successfully installing the System to Party A’s server (or
providing the download address), Party A shall pay the balance of this Contract, namely, 5400$
, capital letter: five thousand four hundred.
Fourth, After-sale service
1．Party B shall provide lifelong maintenance for the System and permanent free upgrading
for the same edition.
2．The System faults caused by the server are not in the range of after-sale service of Party B.
However, if the system files are damaged owing to the server, through negotiation of both parties,
Party B shall restore the system files after the server is restored.
3．As for the operation faults caused by the System itself, Party B shall respond and provide the
solution, which not includes addition of system function modules. When the system module needs
to be added, through joint negotiation of both parties, Party A can pay the labor expense for Party
B according to the actual situation.
Fifth, Exemption statement
During the course of Party A using the Business and Trading Edition of Self-service Website
Builder System, if Party A breaks the laws of the People’s Republic of China, he shall be fully
responsible for all the consequences and responsibilities, and Party B shall bear no responsibility.
Party B shall bear no responsibility for the third party.
Sixth, This System shall be bound under the domain name of www. for use and never be replaced,
but the domain names of self-service website Builder users and agents in this System are not restricted
by this clause.
Seventh, Legal effect
1. As for any changes, amendments or increase and decrease of clauses in this Contract,
after negotiation and agreement, both parties shall sign the written document, which is an
inseparable part of this Contract and has the same legal effect with this Contract.
2. This contract takes effect after being signed and stamped by both parties and Party B receiving
the payment from Party A.
3. There are two copies of this Contract, one for each party.
